End User User License Agreement

General

By using Unified ASP.NET Boilerplate, you agree that this End User User License Agreement (EULA) is a legally binding and valid contract and agree to be bound by it. You agree to abide by the intellectual property laws and all of the terms and conditions of this Agreement.

Unless you have a different license agreement signed by Unified Projects Ltd. (Unified Projects) your use of Unified ASP.NET Boilerplate indicates your acceptance of this license agreement and warranty.

Subject to the terms of this Agreement, Unified Projects grants to you a limited, non-exclusive, non-transferable license, without right to sub-license, to use Unified ASP.NET Boilerplate in accordance with this Agreement and any other written agreement with Unified Projects Ltd.. Unified Projects does not transfer the title of Unified ASP.NET Boilerplate to you; the license granted to you is not a sale. This agreement is a binding legal agreement between Unified Projects and the purchasers or users of Unified ASP.NET Boilerplate.

If you do not agree to be bound by this agreement, remove Unified ASP.NET Boilerplate from your computer now and, if applicable, promptly return to Unified Projects by mail any copies of Unified ASP.NET Boilerplate and related documentation and packaging in your possession.

License Period

Unified ASP.NET Boilerplate License is life time. That means, once you buy it, you can use the license forever within the restrictions described in this document.

Unified ASP.NET Boilerplate License includes 1-year premium technical support, upgrade and access to private repository to follow source code changes. You can see FAQ for more details.

DISTRIBUTION

Unified ASP.NET Boilerplate and the license herein granted shall not be copied, shared, distributed, re-sold, offered for re-sale, transferred, made as open-source or sub-licensed in whole or in part except that you may make one copy for archive purposes only. Source-code cannot be shared with anyone other than the licensee. Further information about redistribution of Unified ASP.NET Boilerplate contact to info@unifiedprojects.net

USER AGREEMENT

Use

Your license to use Unified ASP.NET Boilerplate is limited to the number of licenses purchased by you. You shall not allow others to use, copy or evaluate copies of Unified ASP.NET Boilerplate.

Use Restrictions

You shall use Unified ASP.NET Boilerplate in compliance with all applicable laws and not for any unlawful purpose. Without limiting the foregoing, use, display or distribution of Unified ASP.NET Boilerplate together with material that is pornographic, racist, vulgar, obscene, defamatory, libelous, abusive, promoting hatred, discriminating or displaying prejudice based on religion, ethnic heritage, race, sexual orientation or age is strictly prohibited.

Unified ASP.NET Boilerplate has one type of license:

  • Ultimate License : Can be used to create unlimited number of products/projects, with unlimited number of developers.

Product Restriction

You can sell a product/project to any number of your customers. But you cannot deliver source code to your customer. If you need to deliver source code of your product, that customer needs to buy a separated license.

About the Source Code

Unified Projects sells the source code. So, you can completely change it based on your requirements. There is one exception to that: The solution uses many libraries, which are free and open source, as NuGet packages. If you need the source code of any library, you can just get it from its repository so, there is no hidden code in that manner.

Support

Unified Projects provides premium technical support for Unified ASP.NET Boilerplate for the period of your license.

  • Technical questions are answered by the development and support team in work days except for weekends (Friday and Saturday).
  • Your question is answered in a few hours to 1-2 work days depending on business of our support team and scope of your question.

Support only covers Unified ASP.NET Boilerplate relates problems/questions and not covers these:

  • General development and design questions
  • Problems related to 3rd party libraries (like ASP.NET and Entity Framework) but not related to Unified ASP.NET Boilerplate

Limitation of Responsibility

You will indemnify, hold harmless, and defend Unified Projects, its employees, agents and distributors against any and all claims, proceedings, demand and costs resulting from or in any way connected with your use of Unified Projects's Software.

In no event (including, without limitation, in the event of negligence) will Unified Projects , its employees, agents or distributors be liable for any consequential, incidental, indirect, special or punitive damages whatsoever (including, without limitation, damages for loss of profits, loss of use, business interruption, loss of information or data, or pecuniary loss), in connection with or arising out of or related to this Agreement, Unified ASP.NET Boilerplate or the use or inability to use Unified ASP.NET Boilerplate or the furnishing, performance or use of any other matters hereunder whether based upon contract, tort or any other theory including negligence.

Unified Projects's entire liability, without exception, is limited to the customers' reimbursement of the purchase price of the Software (maximum being the lesser of the amount paid by you and the suggested retail price as listed by Unified Projects) in exchange for the return of the product, all copies, registration papers and manuals, and all materials that constitute a transfer of license from the customer back to Unified Projects.

Warranties

Except as expressly stated in writing, Unified Projects makes no representation or warranties in respect of this Software and expressly excludes all other warranties, expressed or implied, oral or written, including, without limitation, any implied warranties of merchantable quality or fitness for a particular purpose.

Governing Law

This Agreement shall be governed by the law of the Hashemite Kingdom of Jordan applicable therein. You hereby irrevocably attorn and submit to the non-exclusive jurisdiction of the courts of Hashemite Kingdom of Jordan therefrom. If any provision shall be considered unlawful, void or otherwise unenforceable, then that provision shall be deemed severable from this License and not affect the validity and enforceability of any other provisions.

Termination

Any failure to comply with the terms and conditions of this Agreement will result in automatic and immediate termination of this license. Upon termination of this license granted herein for any reason, you agree to immediately cease use of Unified ASP.NET Boilerplate and destroy all copies of Unified ASP.NET Boilerplate supplied under this Agreement. The financial obligations incurred by you shall survive the expiration or termination of this license.

DISCLAIMER OF WARRANTY

THIS SOFTWARE AND THE ACCOMPANYING FILES ARE SOLD "AS IS" AND WITHOUT WARRANTIES AS TO PERFORMANCE OR MERCHANTABILITY OR ANY OTHER WARRANTIES WHETHER EXPRESSED OR IMPLIED. THIS DISCLAIMER CONCERNS ALL FILES GENERATED AND EDITED BY Unified ASP.NET Boilerplate AS WELL.
